Tidy Terms of Service

These Terms of Service and our Privacy Policy together form one unified agreement governing your use of the Services. Please read both documents carefully. If you were directed here, you can use the link above to review the Privacy Policy as well.

These Terms of Service ("Terms") are a binding contract between you ("you" or "User") and POND AI, INC. ( "Tidy," "we," "us," or "our"). They govern your access to and use of the Tidy mobile app, the Tidy website at tidy.chat (the "Site"), and all related services and features (collectively, the "Services"). By creating an account or using the Services in any manner, you confirm that you have read, understood, and accept these Terms.

By clicking "I accept," creating an account, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.


1. Eligibility

You must be at least 18 years old and capable of forming a binding contract. By agreeing to these Terms, you represent and warrant that you meet this requirement and that your use of the Services will comply with all applicable laws and regulations.

3. Scope of Services

Tidy provides an AI-powered personal assistant for your mobile device. You can create Trackers that monitor the things you care about and notify you, chat with the Tidy Agent, and share activity with friends through Tidy's social features. Tidy uses AI to run your Trackers and generate responses, and results may be inaccurate or incomplete.

Tidy may add, remove, or modify features. For any material reduction of a feature that is generally available and actively used in your Account, Tidy will use commercially reasonable efforts to provide notice, unless doing so would create a security risk, violate law, or be technically infeasible. Tidy may deliver Updates automatically without prior notice.


4. Support

Tidy will provide reasonable support through the Services' chat interface, email, and other channels Tidy makes available. Tidy will use commercially reasonable efforts to respond to support inquiries promptly. Support availability and response times may vary based on the nature of your inquiry.


5. Account Registration and Security

To use the Services, you must create an Account and provide accurate, complete registration information. You agree to keep your Account credentials confidential and to notify Tidy promptly of any unauthorized access to or use of your Account. You are responsible for all activity that occurs under your Account and the accuracy of the information you provide.


6. License Grant and Restrictions; Intellectual Property

a. License to User

Subject to your compliance with these Terms, Tidy grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your personal and professional use while these Terms are in effect.

b. Restrictions

You may not, and may not permit any third party to: (a) copy, modify, or create derivative works of the Services; (b) distribute, resell, sublicense, or otherwise transfer the Services to any third party; (c) reverse engineer, decompile, or attempt to discover the source code or underlying algorithms of the Services, except to the extent such restriction is prohibited by applicable law; (d) interfere with or disrupt the security, integrity, or performance of the Services; (e) access the Services for the purpose of building a competing product or service; (f) use the Services to send spam, phishing messages, or unauthorized bulk communications; or (g) remove or obscure any proprietary notices in the Services.

c. Tidy Intellectual Property

Tidy retains all right, title, and interest (including all intellectual property rights) in and to the Services, Documentation, all improvements and modifications thereto, and any technology developed in connection with the Services. You obtain no rights except as expressly set forth in these Terms.

d. User Content

You retain all right, title, and interest in and to your User Content. By using the Services, you grant Tidy a limited, non-exclusive license to use your User Content solely to provide the Services to you.

e. Feedback

If you provide suggestions, ideas, or comments regarding the Services ("Feedback"), Tidy may use such Feedback to develop or improve the Services without restriction, attribution, or compensation to you.

f. Usage Data

Tidy may collect, analyze, and use aggregated and anonymized usage data derived from your use of the Services to operate, improve, and support the Services, provided that such data cannot be used to identify you or any individual.


7. Acceptable Use Policy

You agree not to: (a) use the Services to upload or transmit malware, illegal content, or material that infringes intellectual property rights; (b) use the Services to violate the privacy or data protection rights of any person; (c) use the Services to commit or facilitate any unlawful activity; (d) use the Services to harass, abuse, defame, or harm others; (e) use the Services to automate access to third-party services in violation of their terms of service; (f) attempt to circumvent any access controls or security measures in the Services; (g) use the Services in a manner that places an unreasonable burden on Tidy's infrastructure; or (h) use the Services to collect personal data about others without their consent.

Tidy may suspend your access immediately if Tidy reasonably believes you have violated this section.


8. Data Protection and Privacy

Tidy processes personal data in accordance with its Privacy Policy, available at tidy.chat/privacy . Please review the Privacy Policy to understand how Tidy collects, uses, and protects your information.

You are responsible for ensuring that any personal data you provide to Tidy is processed in compliance with all applicable data protection laws, and that you have obtained all necessary consents from any third parties whose data you provide.

To the extent Tidy processes personal data of individuals located in the European Economic Area ("EEA") or the United Kingdom ("UK"), Tidy complies with applicable data protection law, including the EU General Data Protection Regulation ("GDPR"). In that context: (a) Tidy acts as a data controller with respect to your Account information and processes it only for the purposes described in its Privacy Policy; (b) Tidy implements appropriate technical and organizational measures to protect personal data; (c) you may exercise your rights of access, correction, deletion, restriction, portability, and objection by contacting Tidy at privacy@tidy.chat ; and (d) you have the right to lodge a complaint with your local supervisory authority.


9. Security

Tidy implements commercially reasonable technical and organizational measures to protect User Content against unauthorized access, use, or disclosure. However, no security system is impenetrable, and Tidy cannot guarantee the absolute security of your data. You are responsible for using a strong, unique password for your Tidy Account. In the event of a security breach affecting your personal data, Tidy will notify you as required by applicable law.


10. Confidentiality

Each party acknowledges that it may receive confidential information of the other party ("Confidential Information"), including technical data, trade secrets, business plans, and customer information. Each party agrees to: (i) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information (but in no event less than reasonable care); and (ii) not disclose or use Confidential Information except as necessary to perform obligations or exercise rights under these Terms.

These obligations do not apply to information that: (a) is or becomes publicly available without breach of these Terms; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided the receiving party gives reasonable advance notice (unless prohibited by law) to allow the other party to seek protection.


11. Term, Suspension, and Termination

a. Term

These Terms continue from the date you first accept them until terminated by you or Tidy as described below.

b. Suspension

Tidy may suspend your access to the Services immediately if: (a) required by law; (b) your use poses a security risk to Tidy, other users, or third parties; or (c) you breach these Terms.

c. Termination by User

You may terminate your Account at any time by closing it through the Services.

d. Termination by Tidy

Tidy may terminate these Terms for convenience with thirty (30) days' written notice. Tidy may terminate immediately for cause upon your material breach of these Terms.

e. Effect of Termination

Upon termination: (a) your right to access and use the Services immediately ceases; and (b) Tidy may delete your User Content and Account data thirty (30) days after termination. Sections of these Terms that by their nature should survive termination will continue in effect, including intellectual property, warranties and disclaimers, limitation of liability, indemnification, and dispute resolution.


12. Warranties and Disclaimers

The Services and Site are provided "as is" and "as available." Tidy disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Tidy does not warrant that: (a) the Services will be uninterrupted, error-free, or secure; (b) Tidy will be compatible with all third-party applications or platforms; or (c) the Services will meet your requirements.

Tidy uses AI to run your Trackers and generate responses, and does not warrant that results will be accurate, complete, or error-free. You use the Services entirely at your own risk.


13. Limitation of Liability

To the fullest extent permitted by law, Tidy's total cumulative liability for any damages arising out of or related to the Services or these Terms will not exceed one hundred United States dollars (USD $100).

Tidy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, even if Tidy has been advised of the possibility of such damages.

Without limiting the foregoing, Tidy shall have no liability for: (a) unauthorized access to your Account due to your failure to maintain Account security; or (b) loss of data arising from termination or suspension of the Services.

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.


14. Indemnification

You will indemnify, defend, and hold harmless Tidy, its affiliates, and their respective officers, directors, employees, agents, and successors from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your User Content; or (c) your violation of these Terms or any applicable law. Tidy may assume the exclusive defense and control of any matter for which you are required to indemnify Tidy, at your expense, and you agree to cooperate with Tidy's defense.


15. Dispute Resolution, Arbitration, and Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in English and will take place in San Francisco, California, unless the parties agree otherwise.

You have the right to opt out of this arbitration agreement by sending written notice of your decision to arbitration@tidy.chat within thirty (30) days after you first agree to these Terms. Your opt-out notice must include your full name, the email address associated with your Account, and an unequivocal statement that you wish to opt out of arbitration. If you opt out, all other provisions of these Terms continue to apply.

You and Tidy each waive the right to a jury trial and to participate in any class action, class arbitration, or representative proceeding.

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or to prevent unauthorized access to the Services, without waiving the right to arbitration.


16. Changes to Terms

Tidy may update these Terms from time to time. If Tidy makes a material change, Tidy will use commercially reasonable efforts to notify you by email or through the Services at least seven (7) days before the change takes effect. Continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the updated Terms. For certain products, services, or offerings, supplemental terms may apply.


17. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Subject to the arbitration requirement in Section 15, the state and federal courts located in San Francisco, California have exclusive jurisdiction over any disputes arising under these Terms.


18. Export Compliance

You must comply with all applicable export control laws and trade sanctions regulations in connection with your use of the Services. You represent that you are not located in, under the control of, or a national of any country subject to U.S. export restrictions, and that you are not listed on any U.S. government restricted-party list.


19. Force Majeure

Tidy will not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, acts of government, pandemics, cyberattacks, telecommunications failures, or internet infrastructure failures.


20. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any supplemental terms, constitute the entire agreement between you and Tidy regarding the Services and supersede all prior or contemporaneous agreements, representations, and understandings.

Assignment. You may not assign or transfer these Terms or any rights hereunder without Tidy's prior written consent. Tidy may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver. Failure by either party to enforce any provision of these Terms will not constitute a waiver of future enforcement rights.

Independent Contractors. The parties are independent contractors. These Terms do not create an agency, partnership, employment, joint venture, or fiduciary relationship between the parties.

No Third-Party Beneficiaries. These Terms are for the sole benefit of the parties and do not create any rights in any third party.

Notices. Notices from Tidy to you may be given by email to the address associated with your Account or through the Services. Notices from you to Tidy must be given in writing to the contact information below.
